Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Tawrida Trade Operations Platform and related websites and applications (the “Service”). By accessing or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization.
1. The Service
Tawrida provides a Trade Operations Platform for distributors and exporters, covering field sales, operations and inventory, finance, and export. We may update, improve, or change features from time to time.
2. Eligibility and accounts
The Service is intended for business use by users aged 18 or over. You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your credentials, and for all activity that occurs under your account. Notify us promptly of any unauthorized use.
3. Your data and responsibilities
You retain all rights to the business data you and your users enter into the Service (“Customer Data”). You grant Tawrida a limited license to host, process, and transmit Customer Data solely to provide and support the Service. You are responsible for ensuring that your collection and use of Customer Data, and your users’ activity, comply with applicable law.
4. Acceptable use
You agree not to:
- Use the Service unlawfully or to infringe the rights of others.
- Reverse engineer, decompile, or attempt to derive the source code of the Service, except as permitted by law.
- Interfere with or disrupt the integrity or performance of the Service, or attempt to gain unauthorized access to it or related systems.
- Resell, sublicense, or provide the Service to third parties except as expressly permitted.
- Upload malware or use the Service to transmit unlawful, harmful, or infringing content.
- Access the demo or evaluation environments for competitive analysis, or to build, inform, or benchmark a competing product.
5. Subscriptions and fees
Access to the Service is provided on a subscription basis. Plans, pricing, and payment terms are agreed in an order or written arrangement between you and Tawrida. Unless stated otherwise, fees are exclusive of taxes and are non-refundable. We may suspend access for non-payment after reasonable notice.
6. Intellectual property
Tawrida and its licensors own all rights, title, and interest in the Service, including its software, design, and trademarks. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service. You own your Customer Data. If you provide feedback, you grant us a license to use it to improve the Service.
7. Confidentiality
Each party may access confidential information of the other. Each party agrees to protect the other’s confidential information and to use it only as necessary to exercise its rights and meet its obligations under these Terms.
8. Third-party services
The Service may interoperate with third-party services. Your use of those services is governed by their terms, and we are not responsible for them.
9. Availability, beta features, and changes
We aim to keep the Service available but do not guarantee uninterrupted or error-free operation, and maintenance or downtime may occur. Features identified as beta or preview are provided “as is” and may change or be withdrawn.
10. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of liability
To the maximum extent permitted by law, Tawrida will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability arising out of or relating to the Service will not exceed the amounts you paid to us for the Service in the twelve months preceding the claim.
12. Indemnification
You agree to indemnify and hold Tawrida harmless from claims, damages, and expenses arising from your Customer Data, your use of the Service, or your breach of these Terms, to the extent permitted by law.
13. Term and termination
These Terms remain in effect while you use the Service. Either party may terminate in accordance with the applicable order or for material breach. On termination, your right to use the Service ends; we will make Customer Data available for export for a limited period, after which it may be deleted in the ordinary course.
14. Governing law and disputes
These Terms are governed by the laws of the Arab Republic of Egypt, without regard to its conflict-of-laws rules, and the courts located there will have jurisdiction, unless a separate written agreement between you and Tawrida provides otherwise.
15. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the effective date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance.
